Book, Corporate Governance Fundamentals Developing Trends 7/14[LS]
Descrição
Corporate Governance does not have a single design, uniformly applicable, the same in all countries. Therefore, there are several interpretations available and also several concepts. Furthermore, it involves legal, macroeconomic, financial, strategic and management issues, linked to the different cultural conditions of the countries. The work brings a well-founded selection of concepts, differentiated in terms of their determining elements and presented very clearly. The text is presented with original pictures and figures, showing care with the sequencing and logical construction of the exhibition. The book combines managerial analysis of top management practices with evidence from academic research, results from field research from consultancies and propositions from market institutions. The result is an expository, elegant, didactic and comprehensive work. The work contextualizes corporate governance in Brazil. It objectively assesses the crucial issues of governance in our country: shareholder concentration, ownership-management overlap, weak protection for minority shareholders and the still small size of the capital market. The authors highlighted key elements such as ?8Ps? of governance? property, principles, purposes, roles, power, practices, people and perpetuity, are repeated in every chapter. They indicate a clear concern with the functionality of corporate governance. And one also notices the high emphasis they place on high-quality leadership standards, as it is the people who, in companies, are at the forefront of the models practiced and, therefore, the issues of qualification, commitment and integrity are central in the implementation of a effective governance. At the end of the work, four trends in corporate governance are highlighted: convergence, adherence, differentiation and scope. They point to the future and are a synthesis of the authors' well-founded thinking. As they are realized, they will lead to a better governed and more balanced corporate world.
